This Terms of Service Agreement (“Agreement”) is a legally binding contract between you (“Client,” “you,” or “your”) and Reliant AI Systems LLC (“Reliant AI Systems,” “we,” “us,” or “our”), a Nevada limited liability company, with principal address at 1446 Topaz Ln., Gardnerville, NV 89460, and registered office at Republic Registered Agent LLC, 930 S 4th St, Ste 209, Las Vegas, NV 89101. By accessing or using https://reliantaisystems.com (the “Website”) and/or any related products or services (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by this Agreement and our Privacy Policy.

IF YOU DO NOT AGREE TO BE BOUND BY THIS AGREEMENT OR THE PRIVACY POLICY, DO NOT ACCESS OR USE THE WEBSITE OR SERVICE.

1. Eligibility

You must be at least eighteen (18) years of age and authorized to enter into this Agreement to access or use the Website or Service. By using the Service, you represent and warrant that you meet these requirements.

2. Service Limitations

Reliant AI Systems LLC provides services exclusively to U.S.-based HVAC businesses with active Facebook advertising campaigns. We do not provide ad creation or management services. Minimum eligibility: 40-60 Facebook ad-generated leads per month. Reliant AI Systems LLC reserves the right to determine eligibility at its sole discretion.

3. Call Recording Notice

All calls processed through the Service may be recorded for quality assurance, compliance, and training. By using the Service, you expressly consent to such recordings, as required by law.

4. Data Security, Privacy, and Retention

Reliant AI Systems LLC processes and stores sensitive data (including call recordings, lead information, and appointment data) only as long as required by law and by our partners’ terms. Data is stored and processed using secure, industry-standard safeguards and in accordance with our partners’ requirements.

Clients may request deletion of their data at any time by submitting a written request; such requests will be completed within thirty (30) days, subject to legal and partner requirements.

5. Use of Third-Party Services

Reliant AI Systems LLC utilizes third-party partners and platforms (“partners”) for data storage, processing, telephony, and integrations. Reliant AI Systems LLC is not liable for disruptions, outages, or data loss caused by such third-party services.

6. Client Responsibilities

Clients are responsible for providing accurate information, maintaining their own Facebook ad campaigns, ensuring their own compliance with applicable laws, and granting Reliant AI Systems LLC access to all required platforms (including Facebook ad accounts, phone systems, calendars, and CRMs) for setup and ongoing service.

7. Service Customization

Script customization (including for slow seasons, special deals, etc.) is available and handled during onboarding or by written request. Reliant AI Systems LLC will make reasonable efforts to accommodate customization requests.

8. Support and Service Levels

Reliant AI Systems LLC provides support with a standard response time of the same business day or within twenty-four (24) hours.
Emergencies are defined as situations where leads are being generated but the AI Voice Agent is not placing outbound calls to those leads or not performing core booking functions.
During onboarding, if a client wishes to cancel, Reliant AI Systems will attempt to address concerns; if cancellation proceeds, the client may continue to use the Service for the remainder of the prepaid month, with access removed on the next billing date.

9. Profitability Guarantee

If Reliant AI Systems does not deliver the mutually agreed number of booked jobs within the first sixty (60) days of service, billing will be paused for an additional sixty (60) days or until the job quota is met, whichever occurs first. At the end of this period, billing will resume or the client may submit a cancellation request. No monetary refunds are offered.

10. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. Notify Reliant AI Systems LLC immediately of any unauthorized use.

11. Acceptable Use

You agree to use the Website and Service solely for lawful purposes and in compliance with all applicable laws and regulations.

12. User Content; Representations and Warranties

You represent and warrant that you have all necessary rights and permissions to any content you upload or transmit through the Service and that such content does not infringe upon any third-party rights.

13. Proprietary Rights and Content

All content and intellectual property on the Website and Service are the exclusive property of Reliant AI Systems LLC or its licensors. You may not copy, distribute, modify, or exploit any content without our prior written consent.

14. Restrictions on Use

Except as expressly permitted by this Agreement, you may not use, reproduce, modify, distribute, or create derivative works from any materials on the Website or Service. All rights not expressly granted are reserved.

16. User Content Liability

Reliant AI Systems LLC acts only as a passive host for user-uploaded content and assumes no responsibility or liability for such content.

17. Repeat Infringer Policy

Reliant AI Systems LLC may, at its sole discretion, suspend or terminate access for users who are determined to be repeat infringers.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RELIANT AI SYSTEMS LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE WEBSITE, SERVICE, OR THIS AGREEMENT.
IN NO EVENT SHALL RELIANT AI SYSTEMS’ TOTAL LIABILITY TO YOU FOR ANY CLAIM EXCEED THE AMOUNT OF FEES PAID BY YOU FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE CLAIM, EXCLUDING ANY SETUP FEES.

19. Indemnification

You agree to indemnify, defend, and hold harmless Reliant AI Systems LLC and its affiliates, officers, agents, employees, and licensors from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your use of the Website or Service, your breach of this Agreement, or your violation of any law or third-party rights.

20. Assignment

Reliant AI Systems LLC may assign or transfer this Agreement, in whole or in part, at any time in connection with a merger, sale, or restructuring.

21. Force Majeure

Reliant AI Systems LLC shall not be liable for any failure or delay in performing its obligations under this Agreement due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, civil disturbance, internet or telecommunications outages, or failures of third-party services.

22. Marketing and Analytics

Reliant AI Systems LLC may use anonymized client data for marketing, analytics, or service improvement purposes. Testimonials or identifying information will only be used for marketing with the client’s explicit written permission.

23. Term and Termination

This Agreement remains in effect while you use the Website or Service. Either party may terminate this Agreement at any time with written notice. Upon termination, services will continue until the end of the current billing period, after which access will be removed.

24. Modifications to Service

Reliant AI Systems LLC reserves the right to modify, suspend, or discontinue the Website or Service, in whole or in part, at any time, with or without notice.

25. Blocking of IP Addresses

Reliant AI Systems LLC may block access from certain IP addresses to protect the integrity and security of the Service.

26. Updates to Terms

Reliant AI Systems LLC may update this Agreement at any time by posting the revised version on the Website. Your continued use of the Website or Service after such posting constitutes your acceptance of the revised Agreement.

27. Governing Law; Jurisdiction

This Agreement is governed by the laws of the State of Nevada, without regard to its conflict of law provisions. All disputes shall be resolved in Douglas County, Nevada.

28. Dispute Resolution and Arbitration

Any dispute, controversy, or claim arising out of or relating to this Agreement or the Service shall be resolved by binding arbitration in Douglas County, Nevada, under the rules of the American Arbitration Association. Notwithstanding the foregoing, either party may seek relief in small claims court or seek injunctive or equitable relief in a court of competent jurisdiction.

29. No Third-Party Beneficiaries

This Agreement is for the sole benefit of you and Reliant AI Systems LLC. No third party shall have any rights hereunder.

30. International Use

Reliant AI Systems LLC makes no representation that the Website or Service is appropriate or available for use outside the United States. Accessing the Website or Service from jurisdictions where such access is illegal is prohibited. You are responsible for compliance with all applicable local laws.

31. Entire Agreement

This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and Reliant AI Systems LLC regarding your use of the Website and Service and supersedes all prior agreements.

32. Severability; Waiver

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

33. Headings

Section headings are for convenience only and shall not affect the interpretation of this Agreement.
